Baseline Engagement
1.1 Acceptance of Protocol. By initiating a project, submitting an intake terminal, or rendering payment to Miya Group, the Client implicitly agrees to all terms outlined in this operational ledger.
1.2 Scope of Execution. All project deliverables will be strictly confined to the agreed-upon "Architecture Brief" or contract. Any feature requests or marketing tasks outside this brief will be subject to a secondary "Scope Expansion" invoice.
Intellectual Property & Code Sovereignty
2.1 Custom Code & Architecture. Upon total clearance of all invoices, the Client retains full ownership of the final deployed application, custom UI/UX assets, and front-end code.
2.2 Pre-Existing Vanguard Modules. Miya Digital Solutions retains absolute intellectual property rights over any proprietary internal libraries, pre-existing schemas, or scraping scripts utilized to build the project. We grant the Client a perpetual, royalty-free license to use these modules within the context of their specific project.
2.3 Visual Assets. Raw project files (Figma, DaVinci Resolve project files) remain the property of Miya Digital Solutions unless a "Source File Handoff" fee is stipulated in the contract.
Lead Intelligence & Marketing Parameters
Miya Digital Solutions engineers the acquisition pipeline. We guarantee structural integrity of the campaign and delivery of targeted data. We do not guarantee specific final sales numbers, as closing relies entirely on the Client's internal sales infrastructure.
3.1 Data Compliance. All campaigns are executed in compliance with local privacy laws. The Client assumes full responsibility for how they contact, store, and utilise the data delivered by Miya Digital Solutions.
3.2 Ad Spend Sovereignty. Media buying budgets (Google / Meta) are separate from Miya Digital Solutions' retainer fees. The Client is directly responsible for funding their ad platforms.
The Financial Ledger (Billing)

Consultancy & Global Mobility Terms
5.1 Government Sovereignty. Miya Consultancy provides strategic routing and flawless application protocols. The final decision to grant a visa or work permit rests entirely with the sovereign embassy or immigration authority. We do not guarantee visa approvals.
5.2 Document Integrity. The Client is solely responsible for the authenticity of all academic transcripts, bank statements, and identification documents submitted to our desk. Contracts are immediately terminated if fraudulent documents are detected.
Service Level Agreements & Hosting
6.1 System Uptime. For clients hosted on Miya Infrastructure (Vercel / AWS / Supabase) we target 99.9% uptime. Scheduled maintenance is communicated 48 hours in advance.
6.2 Bug Resolution. All custom builds include a 30-day Integrity Warranty — critical bugs resolved free of charge. After 30 days a maintenance retainer is required.
Termination & Extraction
7.1 Mutual Extraction. Either party may terminate a monthly retainer with 30-day written notice to the designated Director's Desk.
7.2 Project Abandonment. If a Client fails to respond for 30 consecutive days the project is classified Abandoned. Reactivation incurs a 15% fee.
